We are a technology company that provides software applications, mobile digital keyboards, communication venues, websites, and other services (the "Services"). The Services include any maintenance, updates, new content, or functionality. We may also remove, limit, decrease, or change some functions or characteristics of Tappa's Services as part of Tappa's efforts to improve them, or permanently or temporarily stop providing the Services or any functionalities.
Some of Tappa's Services might have additional terms and conditions or licenses which are applicable to those services, so make sure to read those before using them. By using or paying for any of these additional Services, you agree to any additional terms applicable to those Services, and those additional terms become part of Tappa's agreement with you. If any of the applicable additional terms conflict with these TOS, the additional terms will prevail while you are using those services to which they apply.
You can find it by clicking Tappa Keyboard End-User License Agreement.

The most current version of the TOS can be reviewed by clicking on the "Terms of Service" hyperlink located at the bottom of Tappa's web pages. When We make updates to the TOS, We will update the date at the top of this page.

If you want to use our AI-powered functionalities, you must be over the age of 18 and fully read and understand ChatGPT's Terms of Use.
By installing, accessing, or using Tappa's Services, you agree to these TOS. By using the Services after a new version of the TOS has been posted, you agree to the terms of such new version. If you are a consumer in the EU/EEA, additional rights apply to you as set out in the EU Consumer Rights section of these Terms.
If you are accepting these TOS and using the Services on behalf of a company, organization, government, or other legal entity, you represent and warrant that you are authorized to do so and have the authority to bind such entity to these TOS, in which case the words "you" and "your" as used in these TOS shall refer to such entity.
License
We hereby grant you a worldwide, revocable, non-sublicensable, non-transferable, and non-exclusive license for personal use of the Services as provided in these TOS. This license has the sole purpose of enabling you to use and enjoy the benefit of the Services in the manner permitted by these TOS.
Nothing in the TOS gives you a right to ownership or title to the Services. Furthermore, you receive no other rights other than those expressly granted in these TOS. You may not use Tappa's name or any of Tappa's trademarks, logos, domain names, other distinctive brand features, and other proprietary rights. Privacy
Visit our Keyboards Privacy Policy to review what data we collect from you and how We use it. If you are a resident of a U.S. state with a comprehensive privacy law, your state-specific rights — including rights to access, delete, correct, and opt out of sale or sharing of personal information — are described in detail in the Privacy Policy.
Electronic Communications Consent. By installing and activating the Tappa Keyboard you expressly consent — for purposes of the federal Electronic Communications Privacy Act (18 U.S.C. §§ 2510–2523, 'ECPA'), the California Invasion of Privacy Act (Cal. Penal Code §§ 630–638, 'CIPA'), and all equivalent state wiretapping and electronic surveillance statutes — to Tappa's collection and processing of keystroke metadata and typing activity as described in the Privacy Policy. This consent satisfies the applicable requirements of each statute referenced above; you may withdraw it at any time by uninstalling the Tappa Keyboard, which will discontinue the Services.
You understand that through your use of the Services you consent to the collection and use (as set forth in the Keyboards Privacy Policy) of this information, including the transfer of this information to the United States and/or other countries for storage, processing, and use by Us and our affiliates.
Advertising & Limitations on Use
In consideration for granting you access to and use of the Services, you agree that We and our third-party providers and partners may place advertising on the Services or in connection with the display of Content or information from the Services whether submitted by you or others. You also agree not to misuse Tappa's Services, for example, by interfering with them or accessing them using a method other than the interface and the instructions that We provide. You agree that you will not work around any technical limitations in the software provided to you as part of the Services, or reverse engineer, decompile, or disassemble the software. You may not do any of the following while accessing or using the Services:
(i) access, tamper with, or use non-public areas of the Services, Tappa's computer systems, or the technical delivery systems of our providers;
(ii) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures;
(iii) access or search or attempt to access or search the Services by any means (automated or otherwise) other than through our currently available, published interfaces that are provided by Us (and only pursuant to the applicable terms and conditions);
(iv) use the Services to send altered, deceptive, or false source-identifying information; or
(v) interfere with, or disrupt, (or attempt to do so), the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Services, or by scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Services.
We also reserve the right to access, read, preserve, and disclose any information as We reasonably believe is necessary to
(i) satisfy any applicable law, regulation, legal process, or governmental request,
(ii) enforce the TOS, including investigation of potential violations hereof,
(iii) detect, prevent, or otherwise address fraud, security, or technical issues,
(iv) respond to user support requests, or
(v) interfere with, or disrupt, (or attempt to do so), the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Services, or by scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Services.
We also reserve the right to access, read, preserve, and disclose any information as We reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process, or governmental request, (ii) enforce the TOS, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security, or technical issues, (iv) respond to user support requests, or (v) protect Tappa's rights, property, or safety, its users, and the public. As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices.
Tappa Cashback Program
The Tappa Cashback Program ("Cashback Program") allows eligible registered Users to earn cash back ("Cashback") on qualifying purchases made through (a) affiliate links surfaced within the Tappa Keyboard interface, and (b) brand partnership promotional offers displayed in the keyboard. Participation in the Cashback Program is subject to the additional terms set out in this section, which supplement and form part of these TOS.
Earning Cashback. Cashback is earned when you access a qualifying offer through the Tappa Keyboard, complete a qualifying purchase with the applicable merchant or brand partner, and the purchase is confirmed and validated by the applicable affiliate network or brand partner. Cashback is calculated on the qualifying purchase subtotal, excluding taxes, shipping, gift card amounts, and store credit. Cashback rates vary by merchant, brand partner, product category, and promotional period and are subject to change without notice. Use of coupon codes not displayed within the Tappa Keyboard interface may void your Cashback for that transaction.
Pending and Confirmed Cashback. Cashback is initially recorded as "Pending" and becomes "Confirmed" after validation by the applicable merchant or affiliate network, typically within 30 to 90 days. If a purchase is returned, cancelled, or refunded (in whole or in part), the associated Cashback will be reversed or adjusted accordingly.
Payment. Confirmed Cashback is paid quarterly, provided your account balance exceeds $5.01 (or local currency equivalent). If your balance is at or below $5.01 at the end of a payment period, it carries over to the next period and does not expire while your account remains active and in good standing. Payment is made via your selected payment method (e.g., PayPal or bank transfer).
Forfeiture. Cashback may be forfeited if: (a) your account is terminated for violation of these TOS; (b) your account has been inactive for twelve (12) consecutive months; (c) Tappa reasonably determines that Cashback was earned through fraudulent, abusive, or otherwise prohibited activity; or (d) the applicable merchant or partner reverses or claws back the underlying commission. For users in the EU/EEA: forfeiture of Confirmed Cashback on grounds of inactivity (item (b) above) will not take effect unless Tappa has first provided you with at least 30 days' prior written notice (by email to your registered address) of the impending forfeiture and the steps you can take to prevent it.
Unclaimed Property and Escheatment. Notwithstanding any forfeiture provision above, cashback balances are subject to applicable state unclaimed property laws. Where those laws prohibit contractual forfeiture, Tappa will comply with applicable escheatment obligations and remit dormant balances to the relevant state authority following the applicable dormancy period (typically one to five years, varying by state). Tappa will make reasonable efforts to notify you at the email address on file before escheating any balance. Delaware residents should note that Delaware has adopted particularly active unclaimed property enforcement practices.
Taxes. You are solely responsible for any tax obligations arising from receipt of Cashback. Tappa may be required to report Cashback payments to tax authorities and may request tax identification information (e.g., W-9 for U.S. users). Cashback payments of $600 or more in a calendar year may be reported on IRS Form 1099.
IRS Reporting Obligations (Form 1099-MISC). If you receive $600 or more in cashback or incentive payments during a single calendar year that are not attributable to a qualifying purchase transaction (such as sign-up bonuses or referral bonuses), Tappa may be required to file IRS Form 1099-MISC or other applicable information returns and to report such amounts to the Internal Revenue Service pursuant to 26 U.S.C. § 6041. By participating in the Cashback Program you agree to provide Tappa with accurate taxpayer identification information (name, address, and TIN/SSN/EIN) upon request. Failure to provide required information may result in mandatory backup withholding at the applicable statutory rate under 26 U.S.C. § 3406.
Financial Product Limitation — Not a Money Transmitter. The Cashback Program is a closed-loop rewards program and does not constitute a money transmission service, money services business, or prepaid access program as defined under the Bank Secrecy Act (31 U.S.C. § 5330), FinCEN regulations (31 C.F.R. Part 1022), or any state money transmitter licensing statute. Cashback balances may be redeemed only in the manner specified in the applicable Program Rules. Tappa is not a bank or licensed money transmitter; cashback balances do not constitute deposits, legal tender, or regulated financial instruments. If Tappa introduces any feature enabling transfer of cashback balances to external bank accounts or third-party payment services, Tappa will provide advance notice and any required updated terms and regulatory disclosures prior to enabling that feature.
Third-Party Merchants and Partners. Tappa is not a party to any transaction between you and a third-party merchant or brand partner. Your purchases are governed by the merchant's or partner's own terms and conditions. Any disputes regarding products or services should be directed to the applicable merchant or partner.
FTC Disclosure — Sponsored and Affiliate Placements. Some cashback offers and merchant recommendations displayed through the Tappa Keyboard are paid placements by brand partners or are sourced through affiliate networks in which Tappa has a financial interest. In compliance with the Federal Trade Commission's Endorsement Guides (16 C.F.R. Part 255, as amended effective 2023), offers constituting paid or affiliate-based placements will be identified with a 'Sponsored' or 'Ad' label at the point of presentation within the keyboard interface. The presence of such a label indicates that Tappa may receive compensation if you complete a qualifying transaction with the identified merchant.
Prohibited Conduct. In addition to the restrictions in these TOS, in connection with the Cashback Program you may not: create multiple accounts to exploit cashback or promotional offers; use bots or automated tools to generate artificial cashback; engage in click fraud, cookie stuffing, or incentivized traffic generation; or attempt to manipulate or abuse the referral program. Violation of this section may result in immediate account suspension, forfeiture of all accumulated Cashback, and other remedies available to Tappa.
Our Content
All content included in or made available through the Services, such as text, graphics, logos, icons, images, sounds, music, digital downloads, data compilation, software, and documents, is our exclusive property or of its content suppliers and is protected by the various applicable trade dress, copyright, trademark, patent, and other intellectual property and unfair competition laws in the United States and internationally (collectively, "Content"). All rights not expressly granted to you in this TOS are reserved and retained by Us or its licensors, suppliers, publishers, rights holders, or other content providers.
Any use of or reliance on any Content viewed or accessed via the Services or obtained by you through the Services is at your own risk. We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Services.
Your Content
You retain your rights to any material or content you submit, input, post, or display to, on, or through the Services (the "Materials"). By submitting, inputting, posting, or displaying Materials to, on, or through the Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, publicly display, and distribute such Materials in any and all media or distribution methods now known or later developed.
You represent and warrant that you have, or have obtained, all rights, licenses, consents, permissions, power, or authority necessary to grant the rights granted herein for any Materials that you submit, post, or display on or through the Services. You agree that such Materials will not contain material subject to copyright or other proprietary rights unless you have necessary permission or are otherwise legally entitled to post the Materials and to grant Us the license described above.
Third-party Content
If you choose to use our AI-powered functionalities, please make sure to carefully read ChatGPT's Terms of Use. The third-party service provider is fully responsible for all content generated through the interaction with ChatGPT. Tappa does not warrant the accuracy, completeness, or appropriateness of any AI-generated output, and is not liable for any loss or damage arising from your use of or reliance on such content.
You hereby grant Us a perpetual, irrevocable, worldwide license to use any Feedback (as defined below) you communicate to Us, without compensation, without any obligation to report on such use, and without any other restriction. Tappa's rights granted in the previous sentence include, without limitation, the right to exploit Feedback in any and every way, as well as the right to grant sublicenses. ("Feedback" refers to any suggestion or idea for improving or otherwise modifying any of Tappa's Services.)
Disclaimers & Limitation of Liability
Your access to and use of the Services or any Content are at your own risk, including those services provided by third parties. You understand and agree that the Services are provided to you on an "AS IS" and "AS AVAILABLE" basis. The "Tappa Entities" refers to Us, our parents, affiliates, related companies, officers, directors, employees, agents, independent contractors, representatives, partners, and licensors. Without limiting the foregoing, to the maximum extent permitted under applicable law, THE TAPPA ENTITIES DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
The Tappa Entities make no warranty or representation and disclaim all responsibility and liability for (i) the completeness, accuracy, availability, timeliness, security, or reliability of the Services or any Content; (ii) any harm to your hardware, loss of data, or other harm that results from your access to or use of the Services or any Content; (iii) the deletion of, or the failure to store or to transmit, any Content and other communications maintained by the Services; and (iv) whether the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE TAPPA ENTITIES BE LIABLE FOR ANY SPECIAL, INCIDENTAL, DIRECT, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA, BUSINESS, OR PROFITS, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SERVICES, PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR INFORMATION AVAILABLE FROM THE SERVICES, WHETHER OR NOT SUCH DAMAGES WERE FORESEEABLE. Nothing in this Section limits or excludes liability to EU/EEA consumers for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) non-conformity of digital content under Directive (EU) 2019/770; or (d) any other liability that cannot be excluded or restricted by applicable EU consumer protection law.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE TAPPA ENTITIES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM. THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER OR NOT THE TAPPA ENTITIES HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
Choice of Law & Jurisdiction
This Agreement will be governed solely by the laws of the State of New York, including without limitation applicable federal law, without reference to (a) any conflicts of law principle that would apply the substantive laws of another jurisdiction to the parties' rights or duties; (b) the 1980 United Nations Convention on Contracts for the International Sale of Goods; or (c) other international laws. You consent to the personal and exclusive jurisdiction of the federal and state courts of New York, New York. This Section governs all claims arising out of or related to these TOS, including without limitation tort claims. Notwithstanding the foregoing, if you are a consumer habitually resident in the EU/EEA: (i) the mandatory consumer protection provisions of the law of your country of habitual residence apply in addition to New York law, in accordance with Article 6 of Regulation (EC) No 593/2008 (Rome I); and (ii) you may bring proceedings in the courts of your country of habitual residence or in the courts of New York, at your option, in accordance with Regulation (EU) No 1215/2012 (Brussels I Recast, Article 18(1)).
Termination
You may end these TOS with Us at any time by deleting and/or discontinuing use of Tappa's Services. We may modify, suspend, or terminate your access to or use of Tappa's Services anytime for any reason, such as if you violate the letter or spirit of Tappa's TOS or create harm, risk, or possible legal exposure for Us. The following provisions will survive termination of your relationship with Us: "Disclaimers and Limitation of Liability," "Choice of Law and Jurisdiction," "Feedback," "Your Content," "Termination," and "General Terms". Upon account termination, any Confirmed Cashback balance above $5.01 will be paid in the next scheduled payment cycle, provided the termination was not due to a violation of these TOS. Pending Cashback will be subject to the normal confirmation process and, if confirmed, will be paid accordingly. If your account is terminated for violation of these TOS, all Pending and Confirmed Cashback may be forfeited in accordance with the Cashback Program section above.
EU Consumer Rights
Right of Withdrawal. If you are a consumer located in the European Union or European Economic Area, you have the right to withdraw from this agreement within 14 days of acceptance without giving any reason, in accordance with Article 9 of Directive 2011/83/EU (Consumer Rights Directive). The withdrawal period expires 14 days from the day of conclusion of the contract. To exercise the right of withdrawal, you must inform Tappa Operations Inc. (legal@keyboardtechnology.com) of your decision to withdraw by means of an unequivocal statement (e.g., a letter sent by post or email). However, by activating and using the Tappa Keyboard, you expressly consent to the immediate provision of the Service and acknowledge that you lose your right of withdrawal once the Service has been fully performed with your prior express consent, in accordance with Article 16(m) of the Consumer Rights Directive.
Digital Content Conformity. In accordance with Directive (EU) 2019/770 on the supply of digital content and digital services, Tappa warrants that the Tappa Keyboard Service meets the following conformity requirements during the period of supply: (a) subjective conformity: the Service is fit for the purpose for which it is normally used, complies with any description or sample provided prior to contracting, and possesses the qualities and functionality as communicated; (b) objective conformity: the Service is of the quality and possesses the functionality, compatibility, accessibility, and security features that users can reasonably expect for digital services of this type, and is supplied with security updates and functionality updates necessary to maintain conformity for the duration of supply. Where the Service is not in conformity, you are entitled to remedies including having the Service brought into conformity, a proportionate price reduction, or termination of the contract, in accordance with applicable law.
Online Dispute Resolution. Pursuant to EU Regulation No. 524/2013 on Online Dispute Resolution, consumers in the EU/EEA may use the European Commission's Online Dispute Resolution (ODR) platform to resolve disputes out of court. The ODR platform is available at: https://ec.europa.eu/consumers/odr. Our email address for ODR purposes is: legal@keyboardtechnology.com. Tappa is not obligated to participate in any specific alternative dispute resolution procedure before an ADR entity, but will engage in good faith with any complaints submitted through the ODR platform.
Unfair Contract Terms. For consumers in the EU/EEA, the provisions of these Terms are subject to Directive 93/13/EEC on Unfair Terms in Consumer Contracts and applicable national implementing legislation. Any term that is found to be unfair under applicable EU consumer protection law shall not be binding on you, while the remainder of the Terms continue in full force and effect. Specifically: (a) the limitation of liability in the Disclaimers section does not limit Tappa's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under EU law; (b) the disclaimer of warranties does not override Tappa's statutory obligations under the Digital Content Directive; and (c) these Terms do not affect your statutory rights as a consumer under applicable EU law.
EU Payment Services — PSD2 and Electronic Money (EMD2). If Tappa introduces features for EU/EEA users that involve storing cashback funds as electronic money, initiating payment transactions, or accessing payment account data to verify cashback-eligible purchases, such features may be subject to Directive (EU) 2015/2366 on Payment Services (PSD2) and/or Directive 2009/110/EC on Electronic Money (EMD2). Tappa will provide advance written notice before launching any payment-regulated feature in the EU/EEA and will ensure that any required authorization from the relevant competent national authority is in place prior to making that feature available to EU/EEA users.
U.S, State Consumer Privacy Rights
U.S. State Privacy Laws. Residents of certain U.S. states have rights with respect to personal information collected in connection with the Services, including the Tappa Cashback Program. These rights are described in detail in the Tappa Keyboards Privacy Policy (www.tappa.com/privacy-policy-keyboards). By using the Services, you agree that Tappa's collection and use of your personal information is governed by the Privacy Policy, which is incorporated into these Terms by reference.
Do Not Sell or Share / Opt-Out Rights. Tappa does not sell your personal information for monetary consideration. To the extent that sharing data with affiliate network partners or advertising partners in connection with the Cashback Program constitutes 'sharing' or 'selling' under applicable state law (including CCPA/CPRA), you may opt out at any time by: (a) using the 'Do Not Sell or Share My Personal Information' option in your in-app privacy settings; (b) emailing privacy@keyboardtechnology.com; or (c) enabling the Global Privacy Control (GPC) signal in your browser or device. Opting out of data sharing will not affect your ability to use the Tappa Keyboard, but may reduce the relevance of cashback offers displayed to you.
Dispute Resolution — U.S. Users (Arbitration). For users in the United States, any dispute, claim, or controversy arising out of or relating to these Terms or the Services (including the Cashback Program) that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. ARBITRATION MEANS THAT YOU WAIVE YOUR RIGHT TO A JURY TRIAL. You may also bring qualifying individual claims in small claims court. You agree that any arbitration shall proceed on an individual basis, and YOU AND TAPPA EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING. The arbitrator may award any relief that a court could award, including injunctive or declaratory relief, only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. If you opt out of arbitration within 30 days of first accepting these Terms, or within 30 days of accepting any updated version of these Terms that first introduces or materially modifies this arbitration provision, by emailing legal@keyboardtechnology.com with the subject line 'Arbitration Opt-Out, the Choice of Law & Jurisdiction section will govern instead. This arbitration provision does not apply to users in the EU/EEA, who retain the rights described in the EU Consumer Rights section.
California-Specific Disclosures. If you are a California resident, in addition to the Privacy Policy disclosures, please note: (a) Under California Civil Code § 1789.3, you may report complaints about the Services to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254. (b) Any waiver of your rights under the CCPA/CPRA in these Terms is void and unenforceable. (c) Tappa will not retaliate against you for exercising your CCPA/CPRA rights.
General Terms
Tappa's TOS covers the entire agreement between you and Us regarding our Services. If you do not agree with our TOS, you should stop using our Services.
If We fail to enforce any of our TOS, that does not mean We waive the right to enforce them. If any provision of the TOS is deemed unlawful, void, or unenforceable, that provision shall be deemed severable from our TOS and shall not affect the enforceability of the remaining provisions. Our Services are not intended for distribution to or use in any country where such distribution or use would violate local law or would subject us to any regulations in another country. We reserve the right to limit our Services in any country. If you have specific questions about these Terms, please contact us at legal@keyboardtechnology.com.
